Douglas G. Bergeron, 60, has been our Chief Executive Officer and a member of our board of directors since August 2020. Mr. Bergeron is also Co-Founder, Chief Executive Officer and member of the board of directors of HEIC I since February 2020. Mr. Bergeron has served as a Managing Member of HEC Management GP LLC and a Managing Partner of Hudson Executive Capital since February 2020, and as an advisor to Hudson Executive Capital since 2015. Prior to joining Hudson Executive Capital, Mr. Bergeron acted as the CEO of Verifone from July 2001 through March 2013, during which time Mr. Bergeron grew Verifone organically as well as through accretive, value-enhancing acquisitions and strategic partnership. In 2002, Mr. Bergeron founded DGB Investment, Inc., a diversified holding company. Mr. Bergeron also held numerous positions at SunGard Data Systems from April 1990 to May 1999, including Managing Director of SunGard Capital Markets N.A., President of SunGard Futures Systems, and Group CEO of SunGard Brokerage Systems Group. Mr. Bergeron currently serves as the Chairman of the Board of USA Technologies, Inc. and United Language Group, is a member of the board of directors of Pipeworks Studios and Renters Warehouse, and is an investor and advisor to Blend, Inc. He received his B.A from York University in Toronto in 1983 and his M.S. from the University of Southern California in 1987. He was awarded an Honorary Doctorate of Laws (LLD) from York University in 2013.

Douglas L. Braunstein, 59, has been our Chairman, President and a member of our board of directors since August 2020. Mr. Braunstein is also Co-Founder, President and Chairman of the board of directors of HEIC I since February 2020. Mr. Braunstein has served as a Managing Member and Founder of HEC Management GP LLC and as a Managing Partner and Founder of Hudson Executive Capital since January 2015. Prior to Hudson Executive Capital, Mr. Braunstein acted as CFO, Vice Chair, a member of the Operating Committee, and Head of Americas Investment Banking and Global M&A, among others roles at JPMorgan from March 1997 to January 2015. During that time, Mr. Braunstein was instrumental in originating, structuring, negotiating and advising on many significant transactions, including Mars’ acquisition of the Wm. Wrigley Jr. Company, InBev’s acquisition of Anheuser-Busch, Verizon’s acquisition of MCI, and HP’s acquisition of EDS. Mr. Braunstein currently serves as a director of USA Technologies, Inc. and Cardtronics plc. Mr. Braunstein is a trustee of Cornell University, Chair of the Finance Committee and a member of Cornell’s Investment Committee. He received his B.S. from Cornell University in 1983 and his J.D. from Harvard Law School in 1986.

Jonathan Dobres, 43, has been our Chief Financial Officer since August 2020 and is also the Chief Financial Officer of HEIC I since February 2020. Mr. Dobres is currently an investment professional at Hudson Executive Capital. Prior to joining Hudson Executive Capital, Mr. Dobres was a Managing Director of Flexis Capital LLC, a private equity firm concentrating on middle market investments. Additionally, Mr. Dobres has been a Vice President at P. Schoenfeld Asset Management, a multi-strategy hedge fund from April 2008 to June 2009 and a Vice President in the Technology, Media & Telecommunications Investment Banking group at Bear, Stearns & Co. from August 2005 to April 2008. From August 2002 to August 2005, Mr. Dobres was an attorney in the financial services group at Sullivan & Cromwell LLP. He received his B.B.A. from Emory University in 1999 and his J.D. from Georgetown University Law Center in 2002.

Barry L. Zubrow, 67, will serve on our board of directors following the completion of this offering. Mr. Zubrow has more than 35 years of experience in the financial services sector. He has served as President of investment-management firm ITB LLC since 2003. Between 2007 and 2013, Mr. Zubrow was chief risk officer and head of corporate and regulatory affairs at JPMorgan Chase & Co. Prior to that, he was chairman of the New Jersey Schools Development Authority, and previously was partner, chief credit officer and chief administrative officer at The Goldman Sachs Group, Inc. Mr. Zubrow currently serves as a director of Canadian Imperial Bank of Commerce, CIBC Bancorp USA Inc., CIBC Bank USA, MIO Partners and Accellix, and serves on the advisory Board of the Promontory Financial Group (an IBM company). From 2013 to 2018, Mr. Zubrow served as a member of the board of directors of Arc Logistics LP. Mr. Zubrow is also a director of the Juvenile Law Center and Berklee College of Music, and a member of the Council on Foreign Relations. Mr. Zubrow holds a Bachelor of Arts degree from Haverford College where he is an Emeritus Manager and former Chairman of the Board of Managers. He has a Master of Business Administration degree from the University of Chicago Graduate School of Business and a J.D. degree from the University of Chicago Law School.

Ashley Dombkowski, Ph.D., 50, will serve on our board of directors following the completion of this offering. Dr. Dombkowski is the co-Founder, and has served as CEO since 2018, of Alladapt Immunotherapeutics, a biopharmaceutical company developing disease-modifying prescription therapies to treat Food Allergy. She was previously the CEO and Co-Founder of Before Brands, Inc. which she led from inception in 2015 through the consummation of a global strategic partnership with Nestle health Science in 2019. Dr. Dombkowski has more than 20 years of experience as an operating executive, entrepreneur, and investor. Her portfolio of innovative biotechnology, medical device, consumer health and HCIT companies has included 23andMe, Adolor, Alnara, Before Brands, BioVitrum, Epizyme, iPierian, Neosil, Nevro, Rigel, Tercica, and Twist. She previously served as a Managing Director with Bay City Capital, a $1.68 health care venture capital firm. Prior to this, she served as Chief Business Officer and Vice President of operations for 23andMe. Before joining 23andMe, she was a Managing Director with MPM Capital where she served as a member of the firm’s Investment Committee. Earlier in her career, she was an Equity Analyst for Tiger Management L.L.C. and for Dresdner RCM Global Investors. Her non-profit work has included serving as Director, Treasurer, and Chair of the Audit Finance and Budget Committee on the Board of Directors for USA Volleyball, which is recognized by the U.S. Olympic Committee as the National Governing Body for Men’s and Women’s Indoor, Beach, and Paralympic Volleyball in the United States. Dr. Dombkowski holds a Ph.D. in Mathematics from Rice University and received her B.A. in Mathematics from Wellesley College.

Douglas Renert, 53, will serve on our board of directors following the completion of this offering. Mr. Renert has been a partner of Tandem Capital, a Silicon Valley based early stage fund focused on industry-disrupting tech businesses, since cofounding the firm in 2007. Its successful portfolio companies include Bash Gaming, Lambda School, PagerDuty and Tile among others. He started his career as a corporate attorney with Gray Cary (now DLA Piper) and then spent eight years at Oracle from 1997 to 2005, first as Vice President of Corporate Development reporting to the company’s president and then managing several vertical industry apps businesses as a General Manager. Mr. Renert earned an A.B. degree in Political Economy at Princeton University and obtained a J.D. and MBA from UC Berkeley. Mr. Renert currently sits on the boards of Deako, Inc., Shoe Lovers, Inc., Bijoux, Corp. and Internet 404 Technologies, Inc. Over the last five years, he has also served on the board of Opus Global, Inc., Shoptimize, Inc., North American Robotics Corporation, Yardzen, Inc., BoomTV, Inc., KeyNexus, Inc., Foresight Group, Inc., Limit, Inc., Coral Labs, Inc., Outdoorsy, Inc., and Lambda School, Inc.
