Leadership
Michael Nierenberg will serve as Chief Executive Officer and Chairman of the company’s board of directors following the completion of this offering. Mr. Nierenberg, a Managing Director in Fortress’s Private Equity Group, is based in New York and is Chief Executive Officer and Chairman of New Residential Investment Corp. (“NRZ”), a publicly traded mortgage real estate investment trust (“REIT”) externally managed by an affiliate of Fortress. Prior to joining Fortress, Mr. Nierenberg served as Managing Director and Head of Global Mortgages and Securitized Products at Bank of America Merrill Lynch. Mr. Nierenberg joined Bank of America Merrill Lynch in November 2008 from J.P. Morgan, where he was head of Global Securitized Products and a member of the management committee of the investment bank. Prior to his tenure at J.P. Morgan, Mr. Nierenberg held a range of senior leadership positions during fourteen years with Bear Stearns, including head of interest rate and foreign exchange trading operations, co-head of structured products and co-head of mortgage-backed securities trading. From 2006 to 2008, he was a member of Bear Stearns’ Board of Directors. Mr. Nierenberg spent seven years at Lehman Brothers prior to joining Bear Stearns and was instrumental in building the company’s adjustable rate mortgage business. Mr. Nierenberg’s significant experience in the financial services sector and financial expertise make him well qualified to serve as a member of our board of directors.
Daniel N. Bass will serve as the company’s Chief Financial Officer following the completion of this offering. Mr. Bass has served as Chief Financial Officer of Fortress since 2003, leading the firm’s finance, accounting, tax, corporate real estate, information technology, HR and corporate development functions. Mr. Bass was the Chief Financial Officer of Fortress for the entire time it was a public company (NYSE:FIG) (2007-2017). Mr. Bass also co-led the completed merger with SoftBank which closed in December 2017. Prior to joining Fortress, Mr. Bass was the Chief Financial Officer of the Corporate Investments division at Deutsche Bank. Also, while at Deutsche Bank, Mr. Bass was the global Business Area Controller of the Investment Banking division. In this capacity, he supported growth of the bank’s global investment banking division, including integration of the Banker’s Trust accounting team upon acquisition. Prior to Deutsche Bank, Mr. Bass was with PricewaterhouseCoopers LLP’s international tax practice where he advised multi-national & international banks on US & global tax matters. Mr. Bass is a board member of the Real Estate Center at Florida State University. Mr. Bass served as the Chief Financial Officer of FVAC I from its inception in January 2020 until consummation of its business combination in November 2020 and has served as the Chief Financial Officer of FVAC II since its inception in June 2020 and the Chief Financial Officer of FVAC III since its inception in August 2020. Mr. Bass received both a B.S. and a Masters in Accounting from Florida State University.
Varun Wadhawan will serve as the company’s Chief Operating Officer following the completion of this offering. Mr. Wadhawan is a Managing Director in the Private Equity Group at Fortress, where he is responsible for the sourcing, underwriting and execution of corporate investments. At Fortress, Mr. Wadhawan leads Corporate Strategy and M&A for New Residential Investment Corp. and has been instrumental in driving the investment and acquisition of various operating businesses. Prior to joining Fortress in 2016, Mr. Wadhawan spent 10 years at Bank of America Merrill Lynch in the Financial Institutions Investment Banking Group where he executed numerous M&A and capital raising transactions. Prior to Bank of America Merrill Lynch, Mr. Wadhawan worked at American Express and KPMG. Mr. Wadhawan received a MBA from Cornell University, is a Chartered Financial Analyst and a member of the Institute of Chartered Accountants of India.
Debra Coleman will serve as a director of the company following the completion of this offering. Ms. Coleman is a retired Managing Director within the investment banking division of Banc of America Securities. Ms. Coleman joined legacy Merrill Lynch in July 2003 and retired in September 2020. In her role as a senior advisor, Ms. Coleman had client responsibility and advisors to firms in the financial institutions, technology and industrials sectors. She advised on a wide range of strategic transactions for clients globally, including mergers & acquisitions, initial public offerings, conversion offerings, secondary equity offerings, convertible offerings, private placements, subordinated and senior debt offerings and a number of other strategic advisory and corporate finance mandates. Prior to joining Merrill Lynch, Ms. Coleman spent five years providing capital raising and merger advisory services for depositories at Sandler O’Neill & Partners. Ms. Coleman has a B.A. from Williams College and an MBA from Columbia Business School and serves on the Board of the Alvin Ailey American Dance Theater. Ms. Coleman’s significant capital raising and mergers and acquisitions experience make her well qualified to serve as a member of our board of directors.
Elizabeth Fascitelli will serve as a director of the company following the completion of this offering. Elizabeth (Beth) Cogan Fascitelli worked for Goldman Sachs Group, Inc. from 1984 until 2020. Most recently, Ms. Fascitelli was a Partner Managing Director at Goldman Sachs and Chief Operating Officer of the Merchant Banking Division. Ms. Fascitelli is a former director of Carmike Cinemas, Cosmetics Plus Group, Globe Manufacturing, Neuromedical Systems and Whole Foods Market. Ms. Fascitelli is a trustee of the nonprofit Partnership for Inner-City Education and Child Mind Institute and serves as a member of the Board of Trustees for Dartmouth College. Ms. Fascitelli received an M.B.A. from Harvard University and an A.B. from Dartmouth College. Ms. Fascitelli’s significant investment and financial expertise make her well qualified to serve as a member of our board of directors.
