Leadership

Joel Greenblatt has served as our Co-Chairman and Co-Chief Executive Officer since January 2021. Mr. Greenblatt is Managing Principal and Co-Chief Investment Officer of Gotham Asset Management, an SEC-registered investment advisory firm and the successor to Gotham Capital, an investment firm he founded in 1985. Mr. Greenblatt has also served as a director of Pzena Investment Management, an NYSE-listed investment management firm, since 2007. Mr. Greenblatt is the co-founder of the Success Charter Network, a non-profit network of 47 charter schools in New York City serving over 20,000 students, which was founded in 2006. He formerly served on the Investment Boards of the University of Pennsylvania from 2004 to 2014 and the UJA Federation for ten years. In 1999, Mr. Greenblatt co-founded the Value Investors Club (valueinvestorsclub.com). From 1994 to 2000, he was the Chairman of the Board and a director of Alliant Techsystems, an NYSE-listed aerospace and defense contractor. For over two decades, Mr. Greenblatt has been a professor on the adjunct faculty of Columbia Business School teaching courses on “Security Analysis” and “Value and Special Situation Investing.” He is the author of You Can Be A Stock Market Genius (Simon & Schuster, 1997), The Little Book that Beats the Market (Wiley, 2005), The Little Book that Still Beats the Market (Wiley, 2010), The Big Secret for the Small Investor (Random House, 2011) and Common Sense: The Investor’s Guide to Equality, Opportunity and Growth (Columbia University Press, 2020). He holds a BS in Economics (1979), summa cum laude, and an MBA (1980) from the Wharton School of the University of Pennsylvania. Mr. Greenblatt is well qualified to serve as a director due to his extensive business and investment experience.

Robert Goldstein has served as our Co-Chairman and Co-Chief Executive Officer since January 2021. Mr. Goldstein is Managing Principal and Co-Chief Investment Officer of Gotham Asset Management. He joined Gotham Capital in 1989. Mr. Goldstein also founded and served as Managing Partner from 1989 to 1997 of Metropolis Partners, a value and special situation investment partnership managing capital on behalf of institutions and wealthy individuals. Mr. Goldstein served as a director of the Old Guard Group, Inc. from 1999 until its acquisition by the Westfield companies in September 2000. He currently serves on the Board of Trustees of the Museum of the City of New York. Mr. Goldstein holds a BA (1988), magna cum laude, from Tufts University. Mr. Goldstein is well qualified to serve as a director due to his extensive business and investment experience.

Bernard Seibert has served as our Chief Financial Officer and Secretary since January 2021. Since 1999, Mr. Seibert has served as Chief Financial Officer of Gotham Asset Management, LLC and its predecessor entities. Mr. Seibert received a BA in Accounting from Adelphi University.

Eric Strutz will become a member of our board of directors as of the effective time of the registration statement of which this prospectus forms a part. Dr. Strutz has been a member of the board of directors of HSBC Bank plc and chair of its Risk Committee since October 2016. He has been Director and Chairman of the Audit Committee of HSBC Trinkaus & Burkhardt AG since June 2015. Dr. Strutz has been Vice Chairman of the Partners Group Holding AG board of directors and Chair of its Risk and Audit Committee since May 2011, as well as a member of the board of directors of the firm’s portfolio company, Techem, since July 2018. Dr. Strutz has served as independent non-executive director on the Global Blue board since 2018. From 2001 to 2012, Dr. Strutz worked at the Commerzbank Group, where he served as Chief Financial Officer and a member of the board of Managing Directors. Prior to joining Commerzbank, from 1993 to 2001, Dr. Strutz was employed by the Boston Consulting Group, where he served as Vice President, Director and Partner. He studied at the Universities of Erlangen-Nuremberg and St. Gallen (lic.oec. HSG) and holds an M.B.A. from the University of Chicago, as well as a Ph.D. summa cum laude in Business Administration from the University of St. Gallen. Dr. Strutz is well qualified to serve as a director due to his extensive experience serving as a senior executive and board member of other companies.

Nikola Duravcevic will become a member of our board of directors as of the effective time of the registration statement of which this prospectus forms a part. Mr. Duravcevic has more than 20 years of professional investing experience across both public and private markets. In 2015, Mr. Duravcevic founded Asterion Pictures, an independent film production company focused on development and production of original narrative content and has served as a director and producer since then. Prior to Asterion, from 2001 to 2014, Mr. Duravcevic was a Senior Partner and Director of Research at Seneca Capital Investments, an event driven hedge fund that he helped grow to a multi-billion dollar, multi-strategy fund. At Seneca, Mr. Duravcevic oversaw a team of more than a dozen analysts in New York and London, investing in various industries across companies’ capital structures. While there, Mr. Duravcevic also created and ran a specialized analyst group focusing on infrastructure and global energy with private equity approach to public equity investing. Prior to Seneca, from 2000 to 2001, Mr. Duravcevic was an associate at DLJ Merchant Banking Partners, where he focused on investments in the industrial and power sectors. Mr. Duravcevic started his career as an Analyst and later as an Associate at Credit Suisse First Boston’s Global Energy Group with focus on power and utilities investment banking. In addition, since 2011, Mr. Duravcevic has been a Trustee of the Board of The Brooklyn Museum, where he oversees the endowment as Chairman of the Investment Committee. Mr. Duravcevic is well qualified to serve as director due to his extensive investment experience.

John Petry will become a member of our board of directors as of the effective time of the registration statement of which this prospectus forms a part. Mr. Petry currently serves as the managing principal of Sessa Capital, an investment firm he founded in November 2012, where he is the sole portfolio manager responsible for portfolio management, risk management, and overseeing research. Prior to founding Sessa Capital, he spent almost two decades in the finance industry, mostly at hedge funds, including working as a Principal at Columbus Hill Capital Partners from 2010 to 2012 and as a partner at Gotham Capital from 1997 to 2010. He is a co-founder of the Value Investors Club. Mr. Petry holds a B.S. from the Wharton School of the University of Pennsylvania. Mr. Petry is well qualified to serve as a director due to his extensive investment experience.
