Jeff Robinson, the Chairman of our board of directors , joined Bain Capital Credit in 2002 and is a Managing Director, the head of the Distressed and Special Situations Group, a Portfolio Manager of Bain Capital Credit’s Distressed and Special Situations funds and an Investment Committee member of Bain Capital Credit based in Bain Capital Credit’s Boston office. Mr. Robinson also serves as a director of Beat Capital Partners Limited since November 2020. Previously, Mr. Robinson served as a director of United Distribution Group during 2019. Prior to his current role, Mr. Robinson covered the Metals & Mining and Gaming & Leisure sectors and also led several of Bain Capital Credit’s large portfolio purchases from 2002 to 2012. Previously, Mr. Robinson was a Senior Manager of Corporate Development at RSA Security LLC (“RSA”) from 1999 to 2002, where he led the strategic planning efforts of RSA. Prior to joining RSA, Mr. Robinson was a Senior Consultant at Strategic Decisions Group from 1996 to 1999 where he led case teams in the private equity, energy, insurance and industrial goods industries. Mr. Robinson earned an M.B.A. from the Fuqua School of Business at Duke University and a B.S. in Mechanical Engineering from Cornell University.

We believe that Mr. Robinson’s broad investment experience make him well qualified to serve as the Chairman of our board of directors.

Michael A. Ewald, a member of the board of directors of the Company, joined Bain Capital Credit in 1998. Mr. Ewald is a Managing Director, the head of the Private Credit Group, a Portfolio Manager for Bain Capital Credit’s Middle Market Opportunities and Senior Direct Lending fund strategies and an Investment Committee member of Bain Capital Credit. Mr. Ewald also serves as Chief Executive Officer and director of Bain Capital Specialty Finance, Inc. since 2016 and as a director of Blade Group Holdings GP, LLC since April 2020, Tenax Aerospace, LLC since 2018, and ADT Investment LLC since 2018. Previously, Mr. Ewald served as a director of Rotorcraft Leasing Company LLC from 2012 to 2018, Frontier Tubular Solutions, LLC from 2010 to 2018, Work N’ Gear, Inc. from 2008 to 2017, and Hamilton Specialty Bar, Inc. from 2008 to 2017. Prior to his current role, Mr. Ewald was an Associate Consultant at Bain & Company from 1995 to 1998 focusing on strategy consulting to the financial services, manufacturing and consumer products industries. Before joining Bain & Company, Mr. Ewald worked at Credit Suisse First Boston as an analyst in the Regulated Industries group from 1994 to 1995. Mr. Ewald also serves as a director of the non-profit organization Cradles to Crayons since 2014 and as a member of the Dana Farber Leadership Council since 2008. Since 2002, Mr. Ewald has also been a proprietor of the Boston Athenaeum library. Mr. Ewald earned an M.B.A. from the Amos Tuck School of Business at Dartmouth College and a B.A. magna cum laude in 1994 from Tufts University.

We believe that Mr. Ewald’s broad investment experience make him well qualified to serve on our board of directors.

Olof Bergqvist, the Chief Executive Officer of the Company, joined Bain Capital Credit in 2014. He is a Managing Director in the investment team of the Private Credit Group based in Bain Capital Credit’s New York office. He is responsible for sourcing, diligence, structuring and monitoring credit and equity investments across all industries. Mr. Bergqvist also serves as a director of InVeris Training Solutions since June 2020 and OR TopCo, LLC since September 2020. Before joining Bain Capital Credit, Mr. Bergqvist was a Managing Director at J.P. Morgan Securities LLC (“J.P. Morgan”). Mr. Bergqvist worked in J.P. Morgan Mezzanine’s North American team, part of the Global Special Opportunities Group, from 2007 to 2014. He also worked in Investment Banking and as a Credit Portfolio Manager at J.P. Morgan from 2000 to 2007. Mr. Bergqvist earned an M.B.A. in finance from the Stern School of Business at New York University and a B.S. in engineering from Pennsylvania State University.

Sally F. Dornaus, the Chief Financial Officer of the Company, joined Bain Capital Credit in 2006 and is a Managing Director and a member of the Risk & Oversight Committee of Bain Capital Credit’s Boston office. Ms. Dornaus also serves as Chief Financial Officer of Bain Capital Specialty Finance, Inc. since 2016. Prior to joining Bain Capital Credit, Ms. Dornaus was a Senior Manager in the Investment Management practice at PricewaterhouseCoopers, focusing on alternative investment products, from 1994 to 2006. Ms. Dornaus earned an M.S./M.B.A from Northeastern University and a B.A. from Brandeis University. Ms. Dornaus is a Certified Public Accountant.

Matthew Evans, the Vice President and Treasurer of the Company, joined Bain Capital Credit in 2009 and is a Managing Director in the Industry Research team. Mr. Evans also serves as a director of Tenax Aerospace, LLC since 2018, Blade Group Holdings GP, LLC since April 2020, and OR TopCo, LLC since September 2020. Mr. Evans earned a B.A. summa cum laude in Ethics, Politics, and Economics from Yale University.

F. Duffield (Duff) Meyercord has agreed to serve on our board of directors . Mr. Meyercord has served as Managing Partner at Carl Marks Advisors since 2010 and brings more than 35 years of experience directing strategic projects and providing operational and financial advisory services to businesses across a broad range of industries. At Carl Marks Advisors, Mr. Meyercord is responsible for directing and leading consulting teams, as well as serving as an advisor to client stakeholder groups, management teams, boards of directors, bondholders, and lending institutions. Engagement services have included M&A advisory, valuations, due diligence, lender relations, turnarounds, restructurings, and serving in interim senior executive positions. He has worked with companies in several industries, including real estate, consumer goods, retail, textiles, apparel and fashion, home furnishings, equipment rental, shipping and transportation, printing, media, food service, heavy and light manufacturing, financial services, healthcare, and licensing. He also serves on the boards of Peapack-Gladstone Financial Corporation since 1991, United Vision Logistics since 2012, Pacific Crane Maintenance Company since 2011, Beverly Burton Scholarship Fund since 2011, Sankaty Head Foundation since 2012 and Country Club of North Carolina Community Foundation since 2020. Mr. Meyercord also is the founder of Meyercord Advisors Inc. and serves as its President since 1976. Mr. Meyercord launched his career with Malcom P. McLean, founder of SeaLand Containerization. During his career, Mr. Meyercord has served on the boards of numerous companies spanning a wide range of industries, including: Wayside Technology Group, Inc. from January 1990 until March 2018, SDI Media Holdings Corp. from July 2013 to June 2016, and AVI-SPL Holdings from October 2015 to July 2016. Mr. Meyercord earned a B.A. in accounting from Birmingham-Southern College. He is registered with FINRA as a General Securities Representative.

We believe that Mr. Meyercord’s experience in providing operational and financial advisory services make him well qualified to serve on our board of directors.

John Schissler has agreed to serve on our board of directors . Mr. Schissler brings over 15 years of Chief Executive Officer and executive management experience in the industrial, renewable energy, and traditional energy sectors, as well as over a decade of corporate advisory experience. Mr. Schissler serves as a Managing Director in the Restructuring Advisory Group of PPHB, LP since May 2020 and also serves as a director of Frontier Tubular Solutions, LLC since July 2012. Prior to joining PPHB, LP, Mr. Schissler has served as the Chief Executive Officer of Frontier Tubular Solutions, LLC from July 2012 to May 2020. Before his position at Frontier Tubular Solutions, LLC, Mr. Schissler has also served as the Chief Financial Officer of Turner Bros, LLC from June 2007 to June 2012. Mr. Schissler began his career with PwC Business Recovery Services practice and has also served in financing and restructuring roles with FTI Consulting, KPMG and Alvarez & Marsal. Mr. Schissler earned a Bachelor of Business Administration in accounting and finance from Texas Christian University.

We believe that Mr. Schissler’s executive management and corporate advisory experience make him well qualified to serve on our board of directors.

Omar Simmons has agreed to serve on our board of directors . Mr. Simmons is the Co-Founder of Exaltare Capital Management (“Exaltare”) and serves as a Managing Director at Exaltare since September 2011. Mr. Simmons also serves as the Executive Chairman of ECP-PF Holdings, one of the largest Planet Fitness franchises, since December 2012 and led ECP-PF Holdings as Chief Executive Officer from December 2012 to August 2015. Prior to co-founding Exaltare, Mr. Simmons has served as a Director at Windjammer Capital Investors, a leading middle-market private investment firm, from March 2008 to September 2011. Before joining Windjammer Capital Investors, Mr. Simmons was a co-founder and has served as a Managing Director at Reliant Equity Investors, a private equity firm based in Chicago, from May 2001 to March 2008. Mr. Simmons has also worked at leading private equity firms such as Summit Partners from July 1995 to July 1997 and McCown DeLeeuw from June 1999 to August 2001. He started his career as an Associate at Marakon Associates from July 1992 to July 1995, helping Fortune 500 businesses as a management consultant. Mr. Simmons earned an M.B.A. from Harvard Business School and an A.B. in Public Policy from Princeton University.
