Philip Wagenheim has served as a member of our board of directors and our Chief Executive Officer and Chief Financial Officer since February 4, 2021. Philip Wagenheim has over 28 years of experience in the financial industry and has served as the managing partner of Broadband Capital Partners, LLC, a middle-market private equity sponsor focused on growth companies and industry consolidations, since April 2016. Prior to Broadband Capital Partners, Mr. Wagenheim was the vice-chairman of Broadband Capital Management LLC, an investment and merchant bank he co-founded in 2000. Mr. Wagenheim has extensive experience with public and private growth equity investments, including Zynerba Pharmaceuticals (Nasdaq: ZYNE), ExamWorks (NYSE: EXAM), Vroom.com (Nasdaq: VRM), Immunome Inc. (Nasdaq: IMNM), Hydrofarm Holdings Group, INC. (Nasdaq HYFM) and Montrose Environmental Group (NYSE: MEG). In connection with Zynerba’s recapitalization, Mr. Wagenheim was named President / Director of the company and was instrumental in the identification and hiring of new management. Mr. Wagenheim was a director until the company’s initial public offering in August 2015 led by Jefferies and Piper Jaffray. Mr. Wagenheim also served as Interim CEO of Immunome Inc. from January 2017 to March 2017 and currently serves as Secretary and has served as a director of the company since December 2017. Mr. Wagenheim has also been a director on the board of Hyrobuilder Holdings since December 2020. In connection with Vroom.Com, Mr. Wagenheim was responsible for raising the seed capital in 2013 and aided in the formation of the company. Mr. Wagenheim also helped to recruit new management which changed the trajectory of the company. In connection with Hydrofarm, Mr. Wagenheim helped to lead the private equity capitalization and subsequent recruiting of management. He also served as Secretary and a member of the board of directors of Committed Capital Acquisition Corp from October 2011 to October 2013 and Secretary, President and a member of the board of directors of Committed Capital Acquisition Corporation II from April 2014 to June 2017. Mr. Wagenheim received his B.B.A. from the University of Miami in 1992.
We believe the expertise and experience of Mr. Wagenheim in sourcing and creating unique opportunities as well as structuring complex transactions involving creative capital deployment, will make us a partner of choice for potential business combination targets. We intend to focus our efforts on evaluating business combination targets by leveraging the management team and board of directors’ deep network of public and private enterprises, experienced operators, restructuring advisors, attorneys, accountants, family offices, hedge funds, and private equity firms.
Michael Lefenfeld will be one of our directors as of the effective date of the registration statement of which the prospectus forms a part. Michael Lefenfeld has over 15 years of management and operational business experience. Mr. Lefenfeld has served as a member of the board of directors of Immunome, Inc. (Nasdaq: IMNM) since October 2017. Mr. Lefenfeld has served as the President and Chief Executive Officer of Cyanco LLC since September 2018 and was the President and Chief Executive Officer of SiGNa Chemistry Inc. from March 2007 until August 2018. Mr. Lefenfeld has also served on the boards of directors of Cyanco LLC since March 2018 and of SiGNa Chemistry Inc. from March 2007 until September 2018. Mr. Lefenfeld received his B.S. in Chemical Engineering at Washington University in St. Louis, his M.S. in Chemistry at Columbia University and an executive education certificate at Stanford University’s Graduate School of Business. Our board of directors believes Mr. Lefenfeld’s significant industry experience and corporate management experience qualify him to serve on our board of directors.
Jason Port will be one of our directors as of the effective date of the registration statement of which the prospectus forms a part. Mr. Port has approximately 15 years of experience in strategic planning and business development. He has developed significant experience in the world of start-ups, having invested in the early stages of high-growth companies, including Twitter, Jump Forward, and Uber. Mr. Port was one of the earliest employees at Sportsline.com, aiding its rapid growth before its acquisition by CBS. He has continued to focus his investments in early-stage companies as Head of Business Development at Lead Edge Capital since September 2015, and as president of his consulting firm Network Media Group since June 2005, which has offered strategic advice to companies of all sizes. As the initial investor in Quirky.com, he was instrumental in backing the vision of the disruptive collaborative innovation platform. Mr. Port also serves on the Board of Directors of the Heather on Earth Music Therapy Foundation, as well as on the advisory board of the Miami Country Day School. Our board of directors believes Mr. Port’s extensive experience in strategic planning and business development qualifies him to serve on our board of directors.
Thomas Byrne will be one of our directors as of the effective date of the registration statement of which the prospectus forms a part. Mr. Byrne has over 30 years of experience managing and investing in both public and private growth companies and has been the co-founder and Chief Strategy Officer of Kaptyn Holding Corp., an electric vehicle rideshare company since November 2018. He is also a general partner of New River Capital Partners, LP, a private equity fund which he co-founded in 1997. From 2015 to 2016 he served as the President of Pivotal Fitness. From 2004 to 2014 he was an executive of Swisher Hygiene, most recently as its CEO. In 2005 Mr. Byrne co-founded Service Acquisition Corp. International, a SPAC that later merged into Jamba Juice, where he served on the company’s board and Audit Committee until 2010. From 1998 to 1997, Mr. Byrne was an executive at Blockbuster Entertainment Group, a division of Viacom, where he last served as its Vice-Chairman and President of the Viacom Retail Group. From 1984 to 1988, Mr. Byrne served as a CPA with KPMG. He has also served on the boards of Jamba Juice, LDN CBD, Reel.com, Avaltus, ITC Learning, The Transformational Travel Council and Friends of Birch State Park. Thomas graduated from the University of Florida with a BS in Accounting and a MS in Tax. Our board of directors believes Mr. Byrne’s significant industry and financial and accounting experience qualifies him to serve on our board of directors.
