Leadership

Robert Wagman is Chief Executive Officer and Chairman of the Board of Directors of Motor City Acquisition Corp. Mr. Wagman serves on the board of six automotive related companies: Autosource Motors, since 2018; All States Ag Parts, LLC, since 2018; Dealer Tire, LLC, since 2018; Repairify, Inc., since 2019; National Truck Protection Co., Inc., since 2019; and Parts Authority, LLC, since 2020. Previously, Mr. Wagman served as CEO and a director on the board of LKQ Corporation (NasdaqGS: LKQ) from 2011-2017. During his tenure at LKQ, Mr. Wagman helped establish the firm as a leading distributor of aftermarket and recycled parts to the North American collision sector. Additionally, he led LKQ’s expansion into the European repair and maintenance segment through several strategic acquisitions, while also establishing a leading presence in the North American enthusiast products segment. Mr. Wagman received a Bachelor of Arts degree from the University of New Hampshire.

We believe Mr. Wagman is well qualified to serve as a member of our board of directors due to his broad operational and transactional experience in the automotive industry and vast network of relationships.

Eric Singer is President, Chief Financial Officer, and Director of Motor City Acquisition Corp. Mr. Singer is an experienced operator and private investor in the automotive space. Mr. Singer has been the Managing Member of Union Lake since 2016 and serves on the board of directors or managers, as applicable, of four automotive related companies: GB Auto Service Holdings, LLC (SunAuto Tire & Service), since 2017, Autosource Motors, since 2018, OC Parent, L.P. (Oil Changers), since 2021, and Resolvion, LLC, since 2018. Previously, Mr. Singer was the Managing Member of Beach Street Management LLC from 2015 to 2016, and served on the Board of the Morgan Auto Group from 2016 to 2019. Mr. Singer received a Bachelor of Business Administration from the Ross School of Business at the University of Michigan.

We believe Mr. Singer is well qualified to serve as a member of our board of directors due to his significant investment experience in the automotive industry and vast network of relationships.

Larry Morgan has agreed to serve as a Director of Motor City Acquisition Corp. Mr. Morgan has served as Chairman of the Morgan Auto Group since 2014 and Morgan Family Ventures since 1998. Mr. Morgan has previously served as a member of the board of directors of SunTrust Bank, Inc. of Tampa Bay from 1998 to 2017 and US AmeriBancorp, Inc., which was acquired by Valley National Bancorp in 2018, from 2013 to 2018. Mr. Morgan takes an active part in the community and is former Chairman of the Board of Directors of BayCare Health Systems, Inc. and The Florida Automobile Dealers Association. Mr. Morgan attended the University of Missouri where he graduated with a Bachelor’s of Science in Business Administration. Following his graduation Mr. Morgan served and was honorably discharged from the U.S. Army.

We believe Mr. Morgan is well-qualified to serve on our Board of Directors due to his extensive operational and transactional experience in the automotive industry and vast network of relationships.

Terri Chapman has agreed to serve as a Director of Motor City Acquisition Corp. Ms. Chapman is the CEO of MNP, a woman-owned and diverse fastener manufacturer. Prior to her role as CEO, Ms. Chapman held various other leadership positions within MNP since joining the company in 1989. Headquartered in Utica, Michigan, its core business is the production of male-threaded fasteners for a variety of global industries. Additionally, Ms. Chapman has been a member of the Women’s Business Enterprise National Council since 2014 and the Committee of 200 since 2016. She has also served on General Motors’ Supplier Council since 2016, Cranbrook Institute of Science Board of Governors since 2017 and various committees for the Jewish Federation since 2019. Ms. Chapman earned a Bachelor of Arts degree in Liberal Arts from the University of Minnesota.

We believe Ms. Chapman is well-qualified to serve on our Board of Directors due to her extensive operational experience in the automotive industry and vast network of relationships.

Jeremy Anspach has agreed to serve as a Director of Motor City Acquisition Corp. Mr. Anspach founded PureCars in 2007, a software company assisting auto dealers, automotive agencies and automotive manufactures improve their marketing efficiencies, and currently serves as CEO of PureCars. Mr. Anspach received a degree in marketing from Walsh College.

We believe Mr. Anspach is well-qualified to serve on our Board of Directors due to his extensive operational experience in the automotive industry and vast network of relationships.

William Giles has agreed to serve as a Director of Motor City Acquisition Corp. Mr. Giles served as AutoZone’s Chief Financial Officer from 2006 to 2020 as well as Executive Vice President — Finance, Information Technology and Store Development, Customer Satisfaction from 2007 to 2020. Mr. Giles has served on the board of directors for Brinker International since 2013, the board of directors of Youth Villages since 2012 and the board of trustees for Alfred University since 2020. Mr. Giles is a member of the American Institute of Certified Public Accountants and the New York State Society of CPAs. Mr. Giles received a Bachelor’s of Science in Accounting and Management, Accounting, from Alfred University.
