Leadership

Noam Gottesman has served as our Co-Chairman since our inception in January 2021. Mr. Gottesman is the founder and Managing Partner of TOMS Capital, a New York-based actively-managed single-family office, which he founded in 2012. Mr. Gottesman was the co-founder of GLG Partners Inc. and its predecessor entities where he served in various Chief Executive capacities until January 2012. Mr. Gottesman served as GLG’s Chief Executive Officer from September 2000 until September 2005, and then as its Co-Chief Executive Officer from September 2005 until January 2012. Under Mr. Gottesman’s leadership, GLG managed approximately $31 billion in assets at its peak. Mr. Gottesman was also Chairman of the board of GLG following its merger with Freedom and prior to its acquisition by Man Group plc. Mr. Gottesman co-founded GLG as a division of Lehman Brothers International (Europe) in 1995 where he was a Managing Director. Prior to 1995, Mr. Gottesman was an Executive Director of Goldman Sachs International, where he managed global equity portfolios in the private client group. Mr. Gottesman was the Co-Founder and Non-Executive Director of Nomad with Sir Martin, an acquisition vehicle which completed its $500 million initial public offering and listing on the London Stock Exchange in April 2014. In 2015 it acquired Iglo Foods Holdings Limited in the UK and Ireland, Findus in Italy and Iglo in Germany and continental Europe for approximately $2.6 billion and Findus Sverige AB for approximately £500 million and changed its name to Nomad Foods Limited. It relisted on the New York Stock Exchange in 2016 and Mr. Gottesman continues to serve as Co-Chairman of Nomad Foods Limited’s board of directors. Mr. Gottesman was the Co-Founder and a Non-Executive Director of Landscape, an acquisition vehicle which completed its $500 million initial public offering and listing on the London Stock Exchange in November 2017. In February 2020 it acquired AP Wireless for consideration of approximately $860 and changed its name to Digital Landscape Group, Inc and subsequently was renamed Radius Global Infrastructure, Inc. Mr. Gottesman continues to serve on the board of directors of Radius. In addition, Mr. Gottesman has served as Co-Chief Executive Officer and director of GO, a special purpose acquisition company that completed its $500 million initial public offering in August 2020 and listed its securities on NYSE, since June 2020. Mr. Gottesman serves as a Trustee of Columbia University, Columbia University Medical Center and New York Presbyterian Hospital. He is actively involved in other charitable organizations including the Tate Gallery Foundation, Museum of Modern Art and the Metropolitan Museum of Art in New York. Mr. Gottesman obtained a B.A. from Columbia University. Mr. Gottesman is well qualified to serve on our board of directors because of his extensive management history and experience in identifying, investing in and building businesses across various industries.

Sir Martin E. Franklin has served as our Co-Chairman since our inception in January 2021 and is the founder and Chief Executive Officer of Mariposa Capital and chairman and controlling shareholder of Royal Oak Enterprises. He was the founder and chairman of Jarden from 2001 until April 2016 when Jarden merged with Newell Brands Inc. and he served as a director of Newell Brands until January 2018. He became chairman and chief executive officer of Jarden in 2001 and served as chairman and chief executive officer until 2011, at which time he began service as executive chairman. He is co-founder and co-chairman of APi Group Corporation, founder and executive chairman of Element Solutions, a specialty chemicals company, and has served as a director since its inception, and co-founder and co-chairman of Nomad Foods, a European frozen food company, with Mr. Gottesman and has served as a director since its inception. Previously, he served as a director of the following public companies: Apollo Investment Corporation, a closed-end management investment company from April 2004 to December 2006; from February 2011 until its business combination with Burger King Worldwide, Inc. in June 2012, Burger King Worldwide, Inc. from June 2012 until its business combination with Tim Hortons Inc. in December 2014 to form Restaurant Brands International Inc., and Restaurant Brands International Inc. from December 2014 until October 2019; Liberty Acquisition Holdings Corp. (“LAHC”) from June 2007 until its business combination with Promotora de Informaciones, S.A., a Spanish media company (“Grupo Prisa”) in November 2010; Grupo Prisa from November 2010 to December 2013; Liberty Acquisition Holdings (International) Company (“LAHIC”) from January 2008 until its acquisition of Phoenix Group Holdings, a UK based provider of insurance services, in September 2009; Freedom Acquisition Holdings, Inc. from June 2006 until its acquisition of GLG, a hedge fund, in November 2007; GLG from November 2007 to October 2010; and Kenneth Cole Productions, Inc., a stylish apparel and accessory manufacturer and retailer, from July 2005 to December 2011. Prior to founding Jarden in 2001, he had extensive executive experience in running public companies. Between 1992 and 2000, he served as the chairman and/or chief executive officer of three public companies: Benson Eyecare Corporation, an optical products and services company; Lumen Technologies, Inc., a holding company that designed, manufactured and marketed lighting products; and Bollé Inc., a holding company that designed, manufactured and marketed sunglasses and ski goggles worldwide. In addition, Sir Martin has served as a director of Brimstone, a special purpose acquisition company, since January 2021. Robert A.E. Franklin is Sir Martin E. Franklin’s son. He graduated from the University of Pennsylvania. Sir Martin is well qualified to serve on our board of directors because of his extensive management history and experience in identifying, investing in and building businesses across various industries.

Guy Weltsch has served as our President and Chief Executive Officer since our inception in January 2021. Mr. Weltsch is a Founding Partner at TOMS Capital, a New York-based actively-managed single-family office. Mr. Weltsch is a manager or board member of a number of TOMS Capital’s portfolio companies, including TOMS King Holdings LLC. Mr. Weltsch was a founding member of Nomad, Landscape and GO where he serves as the President and Chief Financial Officer. Prior to joining TOMS Capital, Mr. Weltsch was a Senior Managing Director and the Executive Vice President of Tigris Financial Group and its affiliate The Electrum Group LLC, an investment, advisory and asset management firm. Mr. Weltsch was a member of Tigris Group’s Executive Committee and served as a board member and in other officer roles, with selected portfolio companies. Mr. Weltsch was also the Senior Managing Director of Rhodium Group U.S. LLC, a private investment firm focused on high growth opportunities in the fields of internet, digital media, mobile and emerging technologies. Prior to that, Mr. Weltsch was a member of the M&A and Transaction Development groups at Banc of America Securities LLC. Previously, Mr. Weltsch worked with Equity Group Investments. Mr. Weltsch is active in various philanthropic activities, among them the Ronald McDonald House of New York, Harvard Business School, American Friends of IDC Herzliya, the Horace Mann School and other initiatives. Mr. Gottesman is the uncle of Mr. Weltsch’s wife. Mr. Weltsch received his B.A. and L.L.B from the IDC Herzliya, Israel and holds an MBA from the Harvard Business School.

Robert A.E. Franklin has served as our Vice President and Chief Operating Officer since our inception in January 2021 and is currently a principal at Mariposa Capital. In addition, Mr. Franklin has served as Chief Operating Officer of Brimstone since January 2021. He currently serves on the boards of two Mariposa Capital investments, including as vice chairman of Royal Oak Enterprises, a leading manufacturer and distributor of charcoal, firelogs and other wood products, and director of Double Diamond Distillery LLC (d/b/a Breckenridge Distillery). Mr. Franklin has been actively involved in Sir Martin’s prior acquisition vehicles, including Nomad and J2. Prior to joining Mariposa Capital in November 2016, he served as an investment associate at TOMS Capital, a New York-based actively-managed single-family office, from September 2014 to September 2016 and an investment banking analyst at Barclays Capital, focusing on technology, media and telecommunications from June 2013 to August 2014. Sir Martin E. Franklin is Robert A.E. Franklin’s father. Mr. Franklin graduated with a BA from the University of Pennsylvania.

Desiree DeStefano has served as our Chief Financial Officer and Assistant Secretary since our inception in January 2021 and currently serves as a Chief Financial Officer at Mariposa Capital. She has served as Chief Financial Officer at Mariposa family office group since April 2013. In her role at Mariposa, she serves as an officer and/or advisor to Mariposa’s portfolio of active investments including APi Group Corporation, Nomad Foods, Element Solutions and Royal Oak Enterprises for the related investment entities. In addition, Ms. DeStefano has served as Chief Financial Officer, Treasurer and Secretary of Brimstone since January 2021. Prior to joining Mariposa Capital, she served as Chief Financial Officer and Chief Administrative Officer at Igloo Products, Corp., a manufacturer of ice chests, drink containers, and supporting accessories, from September 2010 till April 2013. She has served as a strategic financial advisor for various clients from 2007 to 2010. Ms. DeStefano served as Executive Vice President of Finance and Treasurer of Jarden, a consumer products company, from 2001 to 2007, where she oversaw treasury, corporate development, financial and strategic planning, legal, internal audit and information technology. Prior to Jarden, Ms. DeStefano had served in various senior financial positions at Benson Eyecare Corporation, Lumen Technologies, Inc. and Bolle, Inc, from 1992-1999 and has worked in audit/assurance for PricewaterhouseCoopers from 1989-1992. Ms. DeStefano graduated from Wharton School of the University of Pennsylvania with a BS in economics in 1989.

Alejandro San Miguel has served as our Vice President and Secretary since our inception in January 2021. Mr. San Miguel is a Founding Partner at TOMS Capital LLC, a New York-based actively-managed single-family office, and its General Counsel. Mr. San Miguel is also the General Counsel, Chief Compliance Officer and a management board member of TOMS Capital Investment Management LP, a registered investment advisor. In addition, Mr. San Miguel has served as Vice President and Secretary of GO since June 2020. Mr. San Miguel was a founding member of Nomad and Landscape and is an officer or board member of a number of TOMS Capital’s portfolio companies, including Demica Limited, Gridpoint Inc. and TOMS King Holdings LLC. Prior to TOMS Capital LLC, Mr. San Miguel was General Counsel of GLG Partners from 2007 until 2011. While at GLG, Mr. San Miguel had responsibility for all legal and compliance matters and was a member of GLG’s senior executive committee. Prior to GLG, Mr. San Miguel was a Partner in the international law firm of Chadbourne & Parke where his practice focused on capital markets, mergers & acquisition and international corporate finance matters. Mr. San Miguel began his career as an associate at Thatcher, Proffitt & Wood. Mr. San Miguel graduated with a J.D. from New York Law School and has a B.A. from the University of Pennsylvania.

Steve Stoute is expected to serve as our director upon the closing of this offering. Mr. Stoute is an advertising entrepreneur and music industry innovator and is the founder and Chief Executive Officer of UnitedMasters since February 2016 and Translation. UnitedMasters is a revolutionary platform that enables artists to operationalize and maximize their creative and economic potential while allowing them to maintain full ownership over their master recording rights. Translation is an award-winning agency bringing together creative and insights to connect brands to culture. Translation works with some of today’s leading brands including State Farm, Beats by Dre, and the NBA. With funding from Alphabet, Andreessen Horowitz, and 21st Century Fox, Mr. Stoute’s companies operate at the intersection of technology, culture, innovation, and storytelling. Mr. Stoute is also the President and owner of Stiggedy Entertainment Inc. Prior to founding Translation in 2004, Stoute was a music industry executive at Sony Music and Interscope Geffen A&M. He produced albums for Mariah Carey and Nas, led the production efforts for Gwen Stefani and Enrique Iglesias, and executive produced the Academy Award-winning “8 Mile” film and soundtrack. Mr. Stoute is the critically acclaimed author of “TheTanning of America,” a member of the Advertising Hall of Achievement, and has been named one of Fast Company’s Most Creative People in Business and Executive of the Year by Ad Age. Mr. Stoute serves on the board of the Robin Hood Foundation and as an advisor to SocialWorks, a nonprofit organization founded by Chance the Rapper that supports public schools.

Amanda Eilian is expected to serve as our director upon the closing of this offering. Ms. Eilian is a partner and co-founder of Able Partners, LLC (“ able”) since January 2017, a venture capital firm focused on early stage companies in the positive living space. With over 50 companies in the portfolio, able’s investments include Goop, Daily Harvest, Bulletproof, Maven and Compass Pathways. Ms. Eilian was previously the co-founder of Videolicious, an enterprise software video creation platform backed by Amazon, and served as its President from May 2007 to August 2019 when it was acquired by a multinational strategic buyer. She was instrumental in the launch and growth of Videolicious to over 5 million users in 103 countries, including Fortune 500 companies such as IBM, Walmart, SAP, Verizon and GE. Prior to forming Videolicious, Ms. Eilian was a founding partner of Capitol Acquisition Corporation, a special purpose acquisition vehicle that completed a $265 million initial public offering and became Two Harbors Investment Corp., a billion-dollar REIT (NYSE: TWO). She began her career in private equity and mergers and acquisitions. Ms. Eilian serves on the Board of Directors of Juice Beauty and the Melanoma Research Alliance, and she is also a member of the Tech:NYC Leadership Council. She is a Truman Scholar and received her MBA from Harvard Business School where she was a Baker Scholar, and graduated Magna Cum Laude from Georgetown University School of Foreign Service with Honors in Economics.

Russell J. Colaco is expected to serve as our director upon the closing of this offering. Mr. Colaco has served as Head of Corporate Development for Campbell Soup Company since July 2020 as well as the Managing Partner of Aleutian Advisors, a consulting firm, since September 2017. From June 2016 to July 2017, Mr. Colaco served as the Chief Financial Officer of JBS Foods International, a global food company, and from November 2015 to May 2016, he served as the Head of Corporate Development. From May 2006 to September 2015, Mr. Colaco was a Managing Director in the investment banking division at Morgan Stanley. In that position, he advised leading global consumer and retail companies on strategic and corporate finance matters. Mr. Colaco currently serves as a director of Replay Acquisition Corp., a public special purpose acquisition company. Mr. Colaco received a Bachelor of Business Administration from Wilfrid Laurier University in 1995 and an MBA from the University of Chicago Booth School of Business in 2004.
