Leadership

Frank R. Martire, Jr. is our Founder and has served as the Chairman of the Company since February 2021. He has served as a director of Foley Trasimene Acquisition Corp. since May 2020 and Trebia Acquisition Corp. since February 2020. In addition, he has served as a director of Cannae Holdings since November 2017. Mr. Martire has served as the Executive Chairman of NCR since May 2018. Mr. Martire served as Chairman of FIS from January 2017 until May 2018, and as Executive Chairman of FIS from January 2015 through December 2016. Mr. Martire served as Chairman of the Board and Chief Executive Officer of FIS from April 2012 until January 2015. Mr. Martire joined FIS as President and Chief Executive Officer after its acquisition of Metavante in October 2009, where he had served as Chairman of the Board and Chief Executive Officer since January 2003. Mr. Martire served as President and Chief Operating Officer of Call Solutions, Inc. from 2001 to 2003 and President and Chief Operating Officer, Financial Institution Systems and Services Group of Fiserv from 1991 to 2001. Mr. Martire’s qualifications to serve on our board of directors include his years of experience in providing technology solutions to the banking industry, particularly his experience with FIS and Metavante, his knowledge of and contacts in the financial services industry, his strong leadership abilities and experience in driving growth and results in large complex business organizations.

Frank Martire III has served as President of the Company since February 2021 and is a Partner at Bridgeport Partners. Mr. Martire has 15+ years of experience in public and private M&A as an investor, lawyer and investment banker. In addition to his M&A experience, Mr. Martire has experience with public company governance and shareholder related matters. Prior to co-founding Bridgeport Partners, Mr. Martire was a Managing Director at Trasimene Capital Management from 2019 to 2020. From 2016 to 2019, Mr. Martire was a Founding Partner, member of the Executive Committee and Investment Committee, and General Counsel of Motive Partners. From 2014 to 2015, Mr. Martire was an M&A Partner at Greenberg Traurig, LLP and from 2007 to 2014 he was an M&A associate at Weil, Gotshal & Manges LLP. From 2003 to 2004, Mr. Martire was a research analyst at J.S. Herold and from 2000 to 2002 he was an investment banking analyst at JPMorgan Chase & Co.

Tanmay Kumar has served as Chief Financial Officer of the Company since February 2020 and has served as a Partner of Bridgeport Partners since November 2019. Mr. Kumar has also served as the Chief Financial Officer of Trebia Acquisition Corp. since February 2020. Mr. Kumar was a Principal at Motive Partners from July 2019 to November 2019 and prior to that was a Vice President at Wafra, Inc. in the Alternative Investments Division from August 2014 to April 2019. Mr. Kumar has over a decade of transaction experience across private and public markets with a particular focus on financial services and technology companies. Mr. Kumar has also served as a director of Newest York Arts Press, Inc. since June 2017.

Howard Chatzinoff retired from Weil, Gotshal & Manges LLP, a global law firm, in 2020 after more than 43 years at the firm; he was Co-Head of Weil’s Transactions Practice. Mr. Chatzinoff had a wide-ranging corporate and securities law practice, with particular emphasis on public and private merger and acquisition transactions, dispositions, spinoffs, and joint ventures. He counseled a diverse range of clients and boards of directors on governance, fiduciary duty, corporate control, and other corporate and strategic matters. He holds a BSE from Princeton University and a JD from the University of Virginia. He is a member of the Board of Directors of PENCIL, Inc., a New York not-for-profit whose mission is to connect New York City public school students to success, and served as Chair of its Board of Directors from 2013 to 2019.

Frank D’Angelo is a Partner of Bridgeport Partners. His career spans 35 years in the financial services, digital banking and payments industries. Most recently, Mr. D’Angelo served as Executive Vice President and President, Banking, at NCR Corporation. He currently serves as Chairman of the board of directors of Evertec, Inc., a transaction and payments processing company in Latin America and the Caribbean. At Evertec, Mr. D’Angelo has served as interim CEO and serves on the Compensation Committee. He is a past Chairman of the Electronic Funds Transfer Association and has served on the Payments Advisor Counsel of the Federal Reserve Bank of Philadelphia. Previously, he was President of Monitise Americas, Inc., a provider of mobile banking, payments and commerce networks. Prior to that post, Mr. D’Angelo was Executive Vice President of the Payments Solutions Group at FIS and head of Payments and Digital Banking at Metavante. He also held several executive positions at Diebold Nixdorf, Incorporated, including CEO of Diebold Mexico, living in Mexico City. Mr. D’Angelo served in US Air Force and serves on the board of directors of Walsh University where he serves on numerous committees including the audit and investment committees.

Rachel Landrum is an accomplished senior leader with more than 20 years of experience with privately held, high growth, and Fortune 500 companies serving the financial services market. Deep technology and services experience with a strong and proven track-record in leadership, strategy, business development, research and development, acquisitions and mergers, and operations resulting in significant business growth and margin expansion. Long history demonstrating the ability to lead and motivate diverse teams to achieve superior results with a laser focus on developing relationships for life. Ms. Landrum has had a long and diverse career in banking. From October 2009 to March 2016, Ms. Landrum served as Executive Vice President in FIS’s Community Banking Core Processing Division. From March 2017 to January 2018 Ms. Landrum served as President of Level 8, LLC, an independent firm providing technology advisory services and strategic planning for financial institutions. She has been an owner of Arriba Advisors, LLC since mid 2020. Working with Arriba Advisors allows Ms. Landrum to build on the integrity and trust of established long-term relationships to help banks identify, evaluate, verify, negotiate, and execute the best possible solutions to their long term business strategies.

Don Layden is a Senior Advisor and the head of Strategy and Corporate Development/ M&A for NCR Corporation (NYSE:NCR) , a position he has held since June 2020. Previously, Mr. Layden served as a member of the Board of Directors, as Chairman of the Board of Directors and as President and CEO of USA Technologies (NASDAQ:USAT) from April 2019 until May 2020. He is also a Venture Partner at Baird Venture Partners, which he joined in December 2011, taking a leave of absence from October 2019 through May 2020. Since October 2009, other than a leave of absence from October 2019 through May 2020 , he has been an of-counsel partner of Quarles & Brady LLP, where he practices corporate law. Mr. Layden serves as a director of several private FinTech and payments companies, including SafetyPay, AutoBooks, MedXoom, MicroNotes and HSP Group. Mr. Layden served on the Board of Directors of Firstsource Solutions Limited (NSE:FSL), a public company traded on the National Stock Exchange of India from April 2006 until March 2019. Mr. Layden served as an independent director of Online Resources Corporation (NASDAQ:ORCC) from May 2010 to March 2013, when it was sold to ACI Worldwide, Inc. From November 2009 to November 2011, Mr. Layden served as an Adviser of Warburg Pincus LLC in the Technology, Media and Telecommunications group. From October 2004 to October 2009, Mr. Layden held various positions at Metavante Technologies, Inc. (NYSE:MV), including as President of the International Group, and as Senior Executive Vice President of Corporate Development and Strategy, Corporate Secretary and General Counsel. Prior to that, he served at NuEdge Systems LLC as Chief Operating Officer from 2000 to 2002 and as President from 2002 until 2004, when it was purchased by Metavante Technologies, Inc. Prior to that, Mr. Layden held senior management positions with Marshall & Ilsley Corporation (NYSE:MI) from October 1994 until December 1998. Mr. Layden holds a Juris Doctor with honors from Marquette University Law School and a Bachelor of Arts in Economics and Political Science from Marquette University.

Patricia A. Oelrich , Ph.D., CPA, CISA has served as an independent director on the Board of Directors of the Federal Home Loan Banks Office of Finance since 2014 where she serves as Audit Committee chair and Risk Committee member. Ms. Oelrich serves as principal of Oelrich & Associates, LLC where she counsels clients regarding matters of corporate governance and has held this role since April 2011. She was a member of the Board of Directors of USA Technologies, Inc. from April 2019 until June 2020 and was a member of the Board of Directors and Audit Committee Chair of Pepco Holdings, Inc. from May 2010 until April 2016 when it was sold to Exelon Corporation. She is also on the board of the Association of Audit Committee Members, Inc. From 1995 to 2009, she was with GlaxoSmithKline Pharmaceuticals as Vice President, Internal Audit and then as Vice President, IT Risk Management. Prior to joining GlaxoSmithKline, Ms. Oelrich was an audit partner with Ernst & Young, serving the audit assurance practice from 1975-1995. She spent two years in Ernst & Young’s National Office Audit Assurance Group developing audit guidance and providing financial accounting interpretations to offices throughout the U.S. In 1988, she became a partner and headed the Information Technology Audit and Security Practice in Chicago from 1988 to 1995. In addition to heading the Information Technology Audit and Security Practice, Ms. Oelrich was also lead partner on various audit engagements. Ms. Oelrich is a member of the Advisory Board for the Raj and Kamla Gupta Governance Institute, member and fellow of the National Association of Corporate Directors (NACD), board member for the NACD New Jersey Chapter, and Co-Chair of the Women Corporate Directors Philadelphia. Ms. Oelrich received a Ph.D. and an M.A. in Human Organizational Systems from Fielding Graduate University and a B.B. in Accounting and Information Systems from Western Illinois University.

Tom Shen is a proven expert at scaling digital for banking services financial institutions. He is currently the owner and director of 5 Stones Software, a consulting firm. He has held that role since March 2005. He was the founder and CEO of digital banking solutions provider Malauzai, which he sold to Finastra in 2018. Finastra attributed the company’s market leadership and open approach as part of its purchasing decision. In 2005, Mr. Shen joined the executive team at Digital Insight, an internet banking and payments provider ultimately acquired by NCR Corporation (NYSE: NCR). The first company he founded was Software Dynamics, Incorporated (SDI), a provider of teller and platform automation software that grew to work with more than 1,200 financial institutions before it was sold to S1 Corporation in 2001. The business was later acquired by ACI Worldwide (NASDAQ: ACIW).
