James Murdoch will serve as our Co-Chairman . In 2019, Mr. James Murdoch founded Lupa Systems as a private holding company focused on “future society” and innovation. Prior to this, Mr. Murdoch served as the Chief Executive Officer of 21st Century Fox from 2015 to 2019. In his over two-decade career with News Corp and later 21st Century Fox, Mr. Murdoch’s previous positions included serving as Co-Chief Operating Officer of the company, Chairman and Chief Executive Officer for Europe and Asia, Chairman and Chief Executive Officer of STAR in Asia, and Chief Executive Officer and Chairman of Sky (f/k/a BSkyB), an affiliate of News Corp and then 21st Century Fox. Mr. Murdoch steered the growth and expansion of each of these businesses, directly and through News Corp’s and 21st Century Fox’s stakes in the respective entities.

During his tenure at News Corp and 21st Century Fox, he was a key driver of the company’s domestic and international expansion and was instrumental in initiating and leading the execution of multiple transformational M&A transactions and strategic investments. These included the separation of News Corp’s businesses into two separately traded companies resulting in the creation of 21st Century Fox; the stake acquisition in and the subsequent consolidation of the Yankees Entertainment and Sports Network (“YES Network”); the merger of Shine with Endemol, resulting in the creation of Endemol Shine Group, one of the world’s largest independent television production companies at the time; the ultimate sale of Sky to Comcast Corporation for approximately $39 billion; the spin-off of a portfolio of 21st Century Fox’s assets to Fox Corp; and the sale of 21st Century Fox’s entertainment assets to Disney in 2019 for $71 billion, which remains the third largest media M&A transaction of all time.

During his 15-year tenure as Chief Executive Officer, a director, and Chairman at Sky, the firm grew into one of Europe’s largest entertainment companies with over £13.5 billion ($18.2 billion) of revenues. Notably in 2014, through his role at 21st Century Fox, Mr. Murdoch oversaw the consolidation of three independent businesses across the UK, Italy and Germany, resulting in the creation of the pan-European Sky Group.

Following his appointment as Chairman and Chief Executive Officer of STAR in 2000, Mr. Murdoch led the company’s turnaround in Asia and by 2003, the business had established itself as a leading content and broadcasting company in India, Southeast Asia and Taiwan.

In 2014, Mr. Murdoch and his wife founded Quadrivium, a foundation focused on Democracy, Technology and Society, Scientific Understanding, Climate Change and Ocean Health. Mr. Murdoch serves as a non-executive director of Tesla and MCH Group. He is a member of the board of the Dia Art Foundation, the Center for New American Security, and The Public Theater, and is a member of the Council on Foreign Relations. Previously, he held non-executive director roles at GlaxoSmithKline plc from 2009 to 2012, and Sotheby’s from 2010 to 2012.

Uday Shankar will serve as our Co-Chairman . Previously, Mr. Uday Shankar has served in several leadership roles including as Chairman and Chief Executive Officer of Star India, President of 21st Century Fox Asia, and more recently the Chairman of The Walt Disney Company India and President of The Walt Disney Company Asia Pacific.

Mr. Shankar led Star India from 2007 to 2020. Under his leadership, Star India transformed into Asia’s leading media company with leading market positions in each of its major segments across entertainment, sports and OTT. He is credited with leading the company’s strong foray into regional and local language content, building a comprehensive consumer offering across entertainment and sports, as well as into digital content with the launch of Hotstar, Asia’s leading OTT platform. Mr. Shankar has been a key contributor to shaping the Indian media and entertainment sector, championing important reforms such as digitization of the distribution ecosystem and self-regulation of content.

In 2017, Mr. Shankar was named President of 21st Century Fox for Asia where he led the company’s television and online video platform business across the region. Subsequently, he helped lead the Asia Pacific operations for Disney after its acquisition of 21st Century Fox.

Mr. Shankar currently serves as President of the Federation of Indian Chambers of Commerce and Industry (“FICCI”), India’s premier industry association. He was previously President of the Indian Broadcasting Federation and the Chairman of FICCI’s Media and Entertainment Committee. He also serves on the Board of Directors of Kotak Mahindra Bank and Business Standard.

Jeffrey Palker will serve as our President and General Counsel . Mr. Palker currently serves as the Managing Partner and General Counsel at Lupa Systems. Prior to joining Lupa, he served as Executive Vice President, Deputy General Counsel and Deputy Chief Compliance Officer at 21st Century Fox.

Mr. Palker has over 15 years of experience with 21st Century Fox and News Corp, serving in a number of roles, including his most recent role of overseeing legal and regulatory affairs for the company’s international operations. At 21st Century Fox, he also served as Deputy Chief Compliance Officer, where he was pivotal in implementing the group’s compliance function, instituting a rigorous global compliance system. Mr. Palker spent over seven years with responsibility over the company’s legal affairs in Europe and Asia, as General Counsel for the region from 2009 to 2015, reporting to Mr. Murdoch. As such, he has expansive experience dealing with business, regulatory and legal issues in the Southeast and South Asia region, as well as a deep understanding of building businesses across the continent, including India. Mr. Palker also played a key role in negotiating and executing transformative M&A for 21st Century Fox globally, including those relating to financing Sky Deutschland; the separation of News Corp into two distinct companies; the creation of Endemol Shine Group; the formation of the pan-European Sky Group through the combination of Sky Deutschland and Sky Italia with Sky; the company’s public bids for Sky, and 21st Century Fox’s ultimate sale to Disney in 2019.

Mr. Palker has previously served on the board of Endemol Shine Group and currently serves on the board of MCH Group, Tribeca Enterprises, and Artists, Writers & Artisans (AWA). He commenced his career as an M&A lawyer at Skadden, Arps, Slate, Meagher & Flom LLP.

Nitin Kukreja will serve as our President . Mr. Nitin Kukreja curently serves as the Managing Director of Lupa Systems India. Prior to this, Mr. Kukreja served as the Chief Executive Officer of Star Sports from 2014 to 2017 during which he transformed Star Sports into India’s leading sports franchise. He is recognized for introducing deep and extensive localization, including initiation of premium local language commentary across various sports, and the launch of innovatively designed and highly successful domestic leagues in soccer and kabaddi. He was also involved in the acquisition of a deep and broad portfolio of premier broadcast rights by Star Sports, including all cricket World Cups from the International Cricket Council, all international cricket in India from the Board of Control for Cricket in India, as well as the Asia Cup Cricket, Rio Olympics, Premier League Football, and tennis across Wimbledon, the French Open and the US Open.

Mr. Kukreja has extensive strategic and M&A experience across his previous roles. He served as the Head of Business Development at Star India, where he was involved in evaluating and defining the long-term strategy for the company and execution of inorganic growth opportunities. He defined the strategic roadmap for Star India and led marquee acquisitions of Asianet and ESPN-Star Sports, and various other transactions involving Zee, Tata Sky and Hathway. Prior to Star India, Mr. Kukreja was an investment banker and private equity investor at Morgan Stanley.

Eleni Lionaki will serve as our Chief Financial Officer . Ms. Lionaki currently serves as a Partner at Lupa Systems and has significant experience in the finance and business development domains across the media and technology industries. Prior to joining Lupa, she served as Senior Vice President, Finance & Business Development for Europe and Asia at 21st Century Fox from 2013 to 2019. In her role, she led the M&A activity for 21st Century Fox and its investments in Europe, India and the Middle East. She also managed 21st Century Fox’s corporate office in London and led financial, tax and accounting matters for several group entities in the region. Prior to that, she was an investment banking professional at Deutsche Bank, Goldman Sachs and ING Barings, where she advised on several merger and acquisition transactions across the media, telecommunications, technology and healthcare sectors. Ms. Lionaki also serves on the Board of Directors of MCH Group and Tribeca Enterprises, and has previously served on a number of boards, including at Endemol Shine Group and Moby Group.

Vivek Couto will serve as a director following the completion of this offering. Mr. Couto is the Executive Director and Co-Founder of Media Partners Asia (“MPA”). MPA was founded and launched in March 2001. With offices in Singapore, India and Hong Kong, MPA is the leading independent provider of advisory, consulting and research services, focusing on media, entertainment, telecoms and technology industries in Asia Pacific. MPA also operates AMPD, a subsidiary which measures consumer behavior across the digital economy, including online video and gaming. At MPA, Mr. Couto leads teams to offer clients market research, advisory services, M&A-related due diligence and a variety of industry research reports. MPA also hosts annual events and forums for media, telecoms and technology investors and operators. Prior to founding MPA, He was a senior analyst at Kagan Group, a subsidiary of global media research company Paul Kagan Associates. Mr. Couto is also on the Board of Directors at Infocomm Media Development Authority (“IMDA”) of Singapore.

Ishaat Hussain will serve as a director following the completion of this offering. Mr. Hussain served the Tata Group in India for 36 years until his retirement from the Tata Group in September 2017. From 1981 to 2012, Mr. Hussain served as an executive director in several of the Tata Group companies, including as finance director of Tata Iron & Steel Co. Ltd. from 1989 to 1999. Subsequently, Mr. Hussain served as the finance director of Tata Sons Ltd., which is the Tata Group’s holding company, until 2012. From 2012 to 2017, Mr. Hussain served as a non-executive director of Tata Sons Ltd., as director of each of Tata Consultancy Services Ltd., Tata Steel Ltd., Voltas Ltd. and Titan Co. Ltd, and as an independent director of Bombay Dyeing Co. Ltd. Mr. Hussain currently serves as an independent director of the National Investment & Infrastructure Fund.

Gary E. Knell will serve as a director following the completion of this offering. Gary E. Knell is Chairman of National Geographic Partners, the global joint venture owned by The Walt Disney Company and the National Geographic Society, which includes National Geographic television, print and digital assets and related activities in travel and consumer products. From 2014 through February 2018, Mr. Knell served as President and CEO of the National Geographic Society where he oversaw the Society’s vast nonprofit activities in science, exploration, education and media innovation. Mr. Knell’s career in media spans nearly four decades. Prior to National Geographic, he served as President and CEO of National Public Radio. He spent 22 years at Sesame Workshop, where he served as President and CEO for 12 years. Mr. Knell was Managing Director of Manager Media International, a multimedia publishing company based in Bangkok, Hong Kong and Singapore. He also served as Senior Vice President at WNET/Channel 13 in New York, was counsel to the U.S. Senate Judiciary and Governmental Affairs Committees in Washington, D.C., and worked in the California State Legislature and Governor’s Office. Mr. Knell is a member of the boards of the Smithsonian National Museum of Natural History, the Economic Club of Washington and the U.S. Global Leadership Coalition. He served for twelve years as a Director of Heidrick and Struggles (“HSII”) and chaired its Nominating and Governance Committee. Mr. Knell is also an advisor to the UC Berkeley Graduate School of Journalism, WAMU public radio in Washington, DC and the Military Child Education Coalition.
