Leadership

Jeffrey Hayman has been Chairman of our board of directors and our Chief Executive Officer since March 2021. Mr. Hayman was a member of the board of directors of Zurich Insurance Group Ltd. (SIX: ZURN) from March 2016 to March 2021. Mr. Hayman has previously served on the boards of 21st Century Insurance and Fuji Fire and Marine Insurance. Mr. Hayman has 15 years experience with AIG (NYSE: AIG), notably in CEO positions over global consumer insurance and all property casualty operations in the Far East. Mr. Hayman holds a B.A. in Economics and Political Science with honors from Saint Olaf College and a M.B.A. from the University of Hartford, Barney School of Business and Public Administration. We believe Mr. Hayman is qualified to serve as the Chairman of our board of directors due to his extensive experience serving on the boards of directors of public and private companies in the insurance sector and broad network.

George Perrotta has been our Chief Financial Officer since March 2021. Prior to joining, Mr. Perrotta consulted from 2020 for Transverse Insurance Group. Mr. Perrotta served from 2003 to 2008 as the Chief Financial Officer of Liberty Surplus Insurance Corporation and Liberty International Underwriters Inc., retiring in 2008. Mr. Perrotta holds a B.S. in Accounting from Fordham University. We believe Mr. Perrotta is qualified to serve as the Chief Financial Officer due to his extensive experience serving as the Chief Financial Officer of companies in the insurance sector.

Andrew J. Melnick has agreed to serve on our board of directors following the completion of this offering. Mr. Melnick has been a managing partner of SkyView Investment Advisors since 2010. As a founding member and Chief Investment Strategist of SkyView Investment Advisors, Mr. Melnick develops global economic framework analyses and investment strategy. He also focuses on business strategy supporting the development of bespoke investment solutions focused on meeting the needs of institutional investors. Mr. Melnick has experienced many different capital market cycles as the financial industry encountered major transformative events. Goldman Sachs appointed Mr. Melnick as a Partner and Management Committee Member. In that role, he co-led the Global Equity and Economic Research Department. Through his efforts, Goldman enhanced their presence in alternative assets. Under his leadership, Merrill Lynch earned the Institutional Investor Magazine award for the top US research firm for six consecutive years. While at L.F. Rothschild, Unterberg, Towbin, the firm became a leading underwriter of technology companies. Mr. Melnick also held management and research positions at Drexel Burnham Lambert, BPV Capital, and Woolcott and Company. Mr. Melnick served as a Signal Corps Officer in the United States Army with a tour of duty in Vietnam. Mr. Melnick holds a B.A. and M.B.A. from Rutgers University and is a CFA Charterholder. We believe Mr. Melnick is qualified to serve on our board of directors due to his extensive experience in senior leadership and broad network.

David Paulsson has agreed to serve on our board of directors following the completion of this offering. Mr. Paulsson has been the co-founder and President of Transverse Insurance Group, a P&C program carrier backed by private equity, family office and state and corporate pension investors since October 2018. Transverse is a leading player in the hybrid fronting space, partnering with MGA and insurance specialists and connecting them to the global reinsurance markets. From 2011 to 2015, Mr. Paulsson was the Portfolio Manager of Paragon Outcomes, a multifamily office with a diversified portfolio of holdings across real asset, specialty finance and insurance investments. He has served on various investor advisory committees, including those of Dyal Capital Advisors, Fortress Transportation & Infrastructure Investors (NYSE: FTAI), and Atalaya Asset Income Fund. Mr. Paulsson has over 17 years of principal investment experience and holds CFA and CAIA designations. Mr. Paulsson holds a B.S. in Finance and Information Systems from New York University. We believe Mr. Paulsson is qualified to serve on our board of directors due to his extensive knowledge and experience in the insurance sector and broad network.

Nicholas C. Walsh has agreed to serve on our board of directors following the completion of this offering. Mr. Walsh has a strong and varied general management background in both operational and head office having lived in numerous countries. Mr. Walsh is an extensive world traveler with a focus on command and control of subsidiaries and branches, major client and distribution contacts, external speaker, and director of various not-for-profits. Mr. Walsh spent 42 years with AIG (NYSE: AIG), retiring in 2014 as Vice-Chairman of AIG Property and Casualty Inc. and chair of regional companies. The prior 10 years Mr. Walsh was CEO of AIG’s international general insurance business. During that time, AIG’s international network was one of the largest and the most geographically diverse amongst all peers. Mr. Walsh’s non-executive experience spans several years on internal boards and international societies. From 2014 and 2019 Mr. Walsh was an independent director of Jardine Lloyd Thompson PLC and JLT US subsidiaries. Currently he serves as an independent director of McGill and Partners Ltd. and McGill Global Solutions LLC. Mr. Walsh graduated from CEPAC, the business administrative school of the Universite Libre de Bruxelles. We believe Mr. Walsh is qualified to serve on our board of directors due to his extensive knowledge and experience in the insurance sector and broad network.

Mari Somer Saour Hatano has agreed to serve on our board of directors following the completion of this offering. Ms. Hatano is Managing Member of Soleil Global Advisors LLC, a marketing and consulting firm specializing in bridging the Japanese and the global investment markets which she founded in October 2015. Ms. Hatano is also Co-Founder of Soleil Global Advisors Japan Co., Ltd., a Type II Financial Instruments Exchange Operator and Investment Advisory & Agency Operator registered with the Financial Services Agency of Japan, and serves as Director of the Board of Directors. Since March 2016, Ms. Hatano has been a registered representative of IVP Capital, LLC, a SEC registered broker-dealer and member of FINRA. Prior to founding Soleil Global Advisors LLC, Ms. Hatano was a director at Citi Global Markets, where she led its Japan Capital Introductions Program. In 2006 Ms. Hatano founded Alpha Dialogue Advisors LLC, a marketing consulting firm advising some of the world’s leading alternative investment managers build marketing strategies in the Japanese institutional market. In 2004, Ms. Hatano joined Morgan Stanley Japan in Tokoyo as the first dedicated Capital Introductions specialist. Ms. Hatano has been the chair of the Operating Committee of the Financial Women of Japan Initiative (FWJI), an industry group founded by a group of senior professional women in Japan. Ms. Hatano holds B.A. in International Relations from the State University of New York College at New Platz. We believe Ms. Hatano is qualified to serve on our board of directors due to her extensive experience in senior leadership and broad network.
