Disclosures

Embarc reports information from public SEC filings. Nothing here is an offer to sell or a solicitation of an offer to buy any security, or investment advice. Embarc is not a broker-dealer, investment adviser or funding portal, and is not paid by the companies it covers.

1. What embarc is

Embarc is a publisher of information about companies, offerings, funds, advisers and the people named in filings with the U.S. Securities and Exchange Commission (the “SEC”). We collect filings from the SEC’s public EDGAR system, organize them, and publish the information and our own analysis of it — on our public website, in our subscription dashboard, and through our data connectors. The same information is available to every subscriber on the same plan; nothing we publish is prepared for, or tailored to, any particular person’s circumstances.

2. Not an offer or a solicitation

Nothing embarc publishes is an offer to sell, or a solicitation of an offer to buy, any security or investment. Embarc does not offer, sell, arrange, recommend or facilitate investments of any kind. You cannot invest in any offering through embarc, and embarc cannot introduce you to, or put you in contact with, any company, fund, adviser or person that appears in our data.

3. Not a broker-dealer, investment adviser or funding portal

Embarc is not registered with the SEC, FINRA or any state as a broker-dealer, investment adviser, funding portal or exchange, and does not act as one. Embarc does not receive any compensation that depends on a transaction in any security. Embarc does not provide personalized investment, legal, tax or accounting advice. Consult a qualified professional before making any investment decision.

4. No relationship with the companies we cover

Embarc is not paid by, and does not accept payment from, the companies, funds or offerings that appear in our data — for inclusion, placement, ranking, coverage or anything else. No listing is sponsored. That a company or offering appears on embarc is not an endorsement or recommendation of it, and that one does not appear means nothing about it.

5. Private and exempt offerings

Much of what embarc covers are offerings exempt from SEC registration. Companies file notices of these offerings with the SEC, and those notices are public. Embarc reports what the notices say, as filed, and describes offerings as reported rather than as open to investment. The rules differ by exemption:

  • A private offering, reported to the SEC. This offering was reported under Rule 506(b), under which the issuer may not publicly advertise it. Embarc reproduces the notice as filed with the SEC. We are not soliciting investors for this offering, have no relationship with the issuer, and cannot connect you with them.
  • An offering limited to verified accredited investors. This offering was reported under Rule 506(c), which is limited to accredited investors whose status the issuer verifies. Embarc has no relationship with the issuer, does not verify investors, and does not accept or arrange investments.
  • An exempt offering, reported to the SEC. This offering was reported to the SEC under an exemption from registration. Embarc reproduces the notice as filed, has no relationship with the issuer, and does not offer, sell or arrange investments in it.
  • A Regulation Crowdfunding offering. Regulation Crowdfunding investments can only be made through the SEC-registered funding portal or broker-dealer named in the filing. Embarc is not a funding portal, has no relationship with the issuer, and does not accept or arrange investments.
  • A Regulation A offering. This information is taken from the offering statement as filed with the SEC. Read the offering circular on EDGAR before making any investment decision. Embarc has no relationship with the issuer and does not offer, sell or arrange investments in it.

An amount “sold” or “remaining” is the figure the issuer reported in its most recent filing, as of that filing’s date. It does not mean the offering is open, or that any securities remain available to anyone.

6. Our analysis, and how to read it

Alongside the filings themselves, embarc publishes figures and associations it derives: valuations and returns, unit terms and sponsor promote, deal histories, lifecycle stages, league tables, and the matching of the same person or company across different filings. These are embarc’s own analysis, not statements made by any filer. They depend on how filings were read, can be incomplete or wrong, and can change as new filings arrive. Answers produced by automated or AI-assisted features — including answers given to AI assistants through embarc’s connectors — carry the same caveats. Check any figure that matters to you against the filing it came from; every filing embarc cites links to its source on EDGAR.

Dates are the dates of the filings that reported them unless a page says otherwise. Filings can reach embarc after a delay, and some are never processed.

7. People and companies named in filings

The people and companies embarc names appear in public SEC filings. If you are named and believe embarc has something wrong — including a match that treats two different people as one, or one person as two — email dpo@embarc.com with the page and what should change, and we will review it. Signed-in readers can also write to us from Messages in the dashboard.

8. Conflicts of interest

Embarc is paid by its subscribers and by no one else. It has no financial arrangement with any company, fund, sponsor, underwriter, funding portal or offering it covers, accepts nothing for including, ranking or describing one, and receives no compensation that depends on any transaction in securities. What embarc covers is decided by what is filed with the SEC.

Embarc’s owners, employees, contractors and affiliates may hold, buy or sell securities of companies embarc covers, and may do so at any time. Embarc does not recommend those or any other securities, and publishes its information to every subscriber of a plan on the same terms.

9. No warranty

Information is provided “as is”, without warranty of accuracy, completeness or timeliness. See the Terms of Service, which govern your use of embarc, and the Privacy Policy.
